公司前身为南京纺织品进出口股份有限公司，成立于1978年。2019年，公司在原有贸易业务基础上，收购秦淮风光51%股权，布局文旅产业；2020年收购南商运营51%股权，拓展商业零售板块；2023年，更名为南京商贸旅游股份有限公司，从传统外贸企业转型成为文商旅综合运营平台。公司坚定实施“旅游+商贸”双主业发展战略，业务涉及游船运营、旅行社、酒店、进出口贸易、跨境电商、商业零售、照明科技等多个板块，形成多元化业务布局。近年来，公司紧扣文商旅融合发展方向，持续加大项目投资力度，先后打造红山动物园“360极限飞球”球幕影院、秦淮河西五华里游船夜游、“幻境玄武”、“无象之境”MR体验、万有低空eVTOL等特色项目，不断完善文商旅产业体系，提升核心竞争力与可持续发展能力。2021年，公司制定“十四五”发展战略规划，将可持续发展理念融入企业战略、重大决策与企业文化建设，并与经营管理有机结合。规划期间，公司前瞻性研判全球可持续发展趋势及政策法规，系统识别领域内机遇、挑战与风险，以此全面规划未来可持续发展方向、关键目标及战略举措。
